Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the ContentConcepts website, learning platform, software, automations, and related services (together, the "Service"), operated by ContentConcepts ("we", "us", "our"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, please discontinue use.

1. About ContentConcepts

ContentConcepts provides digital marketing automation tools, white-label software, training programs, coaching, and related professional services. The Service is operated from India and intended primarily for businesses, agencies, professionals, and learners.

2. Eligibility

• You must be 18 years or older to use paid services.
• You must have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
• You agree to provide accurate, current information when creating an account or making a purchase.

3. Accounts & Access

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• We may suspend or terminate access for misuse, security risks, or policy violations.

4. Subscriptions, Billing & Payments (Razorpay)

• Paid plans are billed in advance per the plan selected (monthly, annual, or one-time).
• All payments are processed securely through Razorpay. By making a payment, you authorize Razorpay and your bank or card issuer to charge the applicable amount.
• Prices are listed in Indian Rupees (INR) unless stated otherwise. Applicable GST and statutory taxes are added at checkout.
• For auto-renewal subscriptions, the plan will renew automatically at the end of each billing cycle until you cancel.
• We reserve the right to suspend access for non-payment, failed renewals, or chargebacks.
• Refunds, where applicable, are governed by our Refund & Cancellation Policy.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with applicable Indian and international laws. You will not:

• Send unsolicited, spam, or unlawful communications via WhatsApp, email, SMS, or voice through any tool we provide.
• Contact recipients registered on India's National Customer Preference Register (NCPR / DND) without valid consent or a lawful basis under TRAI's TCCCPR 2018 framework.
• Upload, store, or transmit data you do not have lawful right or consent to use.
• Misuse the Service to harass, defraud, defame, or violate the rights of any third party.
• Attempt to disrupt, hack, scrape, or reverse-engineer the Service.

6. Customer Data & Compliance Responsibility

When you use ContentConcepts tools to message your own audience, you act as the data controller (or "Data Fiduciary" under India's Digital Personal Data Protection Act, 2023) for that audience. You warrant that:

• You have obtained valid consent or have a lawful basis to contact every recipient.
• You honour opt-out, unsubscribe, and DND requests promptly.
• You comply with TRAI regulations, the DPDP Act 2023, and any applicable local laws (including GDPR where relevant).
• You will indemnify ContentConcepts against any claim, complaint, regulatory action, or penalty arising from your use of the Service to contact third parties.

7. License

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business or learning purposes. You may not resell, sublicense, redistribute, or reverse-engineer any part of the Service or content.

8. Intellectual Property

All rights, title, and interest in the Service, including software, content, course materials, designs, and trademarks, remain with ContentConcepts or its licensors. Nothing in these Terms transfers any intellectual property rights to you.

9. No Guarantee of Results

ContentConcepts provides tools, training, and frameworks. We do not guarantee specific business outcomes, leads, revenue, ranking, or growth. Results depend on your effort, market conditions, and execution.

10. Third-Party Services

The Service may integrate with third-party tools (for example Razorpay, WhatsApp Cloud API, Google reCAPTCHA, Meta, Google). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services or downtime caused by them.

11. Termination

• You may stop using the Service or cancel future renewals at any time.
• We may suspend or terminate your access for breach of these Terms, non-payment, or unlawful activity.
• On termination, certain provisions (intellectual property, indemnity, limitation of liability, governing law) will continue to apply.

12. Limitation of Liability

To the maximum extent permitted by law, ContentConcepts and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim shall not exceed the fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold harmless ContentConcepts from any claim, loss, liability, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right, including DND, TRAI, DPDP, or anti-spam laws.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India. The courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising from these Terms or your use of the Service.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or via email. Continued use after the effective date of revised Terms constitutes acceptance.
